PUBLIC OFFER AGREEMENT

(Public Offer for the Purchase of Premium Subscription Services)

Effective Date: 03.01.2026

This document, permanently posted on the Internet, in accordance with Articles 389, 395 and 396 of the Civil Code of the Republic of Kazakhstan, constitutes a User Agreement and an official offer (public offer) from Xponend (hereinafter referred to as the "Provider"), to enter into an Agreement with any interested individual who uses the Manggo mobile application (hereinafter referred to as the "Service") and accepts this offer under the conditions specified below (hereinafter referred to as the "User").

1. Acceptance of the Offer

Acceptance of this Offer is equivalent to entering into an Agreement on the terms set forth in this Offer. The User is considered to have concluded an Agreement with the Provider by performing the following actions:

  • Registration in the Service (creating an account)
  • Clicking "I accept the terms of the user agreement" or similar confirmation buttons
  • Making a payment for premium subscription
  • Using any paid features of the Service

2. Terms and Definitions

Service/Platform: The Manggo mobile application providing language learning services through live conversations with native speakers in audio rooms.

Premium Subscription: A recurring paid service providing enhanced access to Service features, including unlimited room creation, advanced matching with native speakers, priority access to language rooms, and premium features.

User: An individual who has registered in the Service and accepted the terms of this Offer.

3. Subject Matter, Cost and Payment Procedure

3.1 Premium Subscription

Premium subscription plans include:

  • Monthly Premium: Recurring monthly subscription
  • Annual Premium: Recurring annual subscription with discount

Premium features include: unlimited audio room creation, advanced native speaker matching, priority room access, extended conversation time, and exclusive community features.

3.2 Payment

Payment is processed through TipTopPay payment system (https://tiptoppay.kz). The User can pay using:

  • Bank cards (Visa, Mastercard)
  • Other payment methods available through TipTopPay
  • In-app purchases through App Store or Google Play (where applicable)

4. Digital Services Nature

All services offered through Manggo are digital services delivered electronically:

  • Access to language learning features is provided immediately upon subscription activation
  • Digital content is non-tangible and accessed through the Service
  • Subscription services provide continuous access to premium features during the subscription period

5. Rights and Obligations

5.1 Provider Obligations

  • Provide access to subscription services and premium features
  • Ensure Service availability 24/7, except for technical maintenance periods
  • Protect User personal data in accordance with the Privacy Policy
  • Provide technical support for Service-related issues

5.2 User Obligations

  • Provide accurate and truthful information during registration
  • Maintain confidentiality of account credentials
  • Make timely payments for subscriptions
  • Comply with the Terms of Service and community guidelines
  • Not use the Service for illegal purposes

6. Subscription Terms

  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • Users can cancel subscriptions at any time through app settings or platform subscription management
  • Cancellation takes effect at the end of the current billing period
  • No partial refunds for unused subscription time upon cancellation
  • Price changes will be communicated in advance and apply to the next billing cycle

7. Refund Policy

Due to the nature of digital services, refunds for subscription purchases are available only if:

  • Technical issues prevented access to premium features
  • Request is made within 14 days of purchase and no premium features were used

Subscription refunds follow platform policies (App Store/Google Play) for in-app purchases. To request a refund, contact support with your purchase details.

8. Liability and Disclaimers

  • Language learning services are provided for educational and entertainment purposes
  • We do not guarantee specific learning outcomes
  • The Provider is not responsible for user interactions in audio rooms
  • The Provider is not responsible for third-party payment processor issues
  • Force majeure events release both parties from obligations

9. Dispute Resolution

All disputes shall be resolved through negotiation. The pre-trial claim procedure is mandatory with a 10-day response period. If resolution is not reached, disputes shall be settled in courts of the Republic of Kazakhstan at the Provider's location.

By using Manggo and making purchases, you confirm that you have read, understood, and agree to be bound by this Public Offer Agreement. This Agreement constitutes a legally binding contract between you and Xponend for the purchase and use of premium subscription services.
